Social Media Management terms and conditions
Social Media Management Service Terms
These service terms form part of the Gravity Co Terms & Conditions and applies to all Social Media Management services provided by Gravity Co Pty Ltd.
These terms apply in addition to our general Terms & Conditions.
1. Scope of Social Media Services
Gravity Co provides social media services which may include:
- Social media strategy and planning
- Profile setup and optimisation
- Content creation
- Content scheduling
- Community engagement
- Community moderation
- Reporting and analytics
- Ongoing optimisation
Specific deliverables are outlined in the approved proposal or agreement.
Work requested outside the agreed scope may incur additional fees.
2. Phased Engagement Model
Social media services may be delivered through a phased engagement model.
Examples may include:
- Phase 1 – Launch & Scale
- Phase 2 – Optimise & Convert
- Phase 3 – Presence & Consistency
Each phase constitutes a minimum term commitment and must be completed once commenced.
A phase commences when:
- The agreed campaign goes live;
- Content begins publishing; or
- Advertising activity commences,
The Client may not pause, terminate, or cancel services during an active phase.
Progression into a subsequent phase constitutes acceptance of the pricing and minimum term applicable to that phase.
Phase Pricing applies only where expressly stated in the accepted proposal, sign-up email, or written agreement.
3. Cancellation
The Client may elect not to proceed to a subsequent phase by providing forty-five (45) days' written notice.
Notice must be submitted by email.
Any notice submitted during an active phase will only take effect once:
- The current phase has been completed; and
- The notice period has expired.
Fees remain payable throughout the notice period.
4. Social Media Access Requirements
The Client must provide:
- Social media account access
- Business Manager access where required
- Advertising account access where required
- Timely approvals
- Required content and information
Gravity Co is not responsible for delays, missed content, reduced performance, or missed deadlines caused by Client delays.
5. Content Ownership & Licensing
Gravity Co retains ownership of:
- Social media strategies
- Frameworks
- Campaign structures
- Creative concepts
- Photography
- Videography
- Edited assets
- Raw files
- Marketing materials
The Client receives a limited, non-exclusive licence to use approved content during an active engagement with Gravity Co.
Upon termination, cancellation, or completion of services, the licence to use Gravity Co-created content immediately ceases unless otherwise agreed in writing.
Raw footage, source files, and unedited assets remain the property of Gravity Co and are not supplied unless expressly agreed in writing.
Ownership transfers or content buyouts may be negotiated separately at Gravity Co's discretion.
6. Social Media Platform Disclaimer
Gravity Co does not guarantee:
- Follower growth
- Reach
- Engagement
- Leads
- Sales
- Revenue
The Client acknowledges that platform algorithms, policies, and functionality are controlled by third parties.
Gravity Co is not responsible for:
- Account restrictions
- Account suspensions
- Content removals
- Policy breaches
- Platform outages
- Algorithm changes
Advertising spend is separate from management fees unless otherwise stated in writing.
